Introduction: Welcome to Flow Focus (the "Company," which includes its controlling partners, parent companies, subsidiaries, affiliates, and any associated legal entities, "we," "our," or "us"). By accessing or using our platform ("Service") through http://flowfocus.pro (the "Site"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). 1. Definitions
"Service": The software and related features provided by Flow Focus, accessible via the Site.
"User" or "Customer": The individual or entity registered to use the Service.
"Subscription Plan": The service tier selected by the Customer during registration.
2. Use of Service
Eligibility: You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service.
Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Prohibited Use: You agree not to:
Engage in illegal activities.
Circumvent security measures.
Share access credentials with unauthorized individuals.
3. Sharing and Disclosure of Information
Subscription Plans: Details of our subscription plans are available on our website at http://flowfocus.pro.
Billing and Payment:
Fees are based on the selected subscription plan and are billed in advance on a recurring basis (monthly or annually).
Additional services, commonly referred to as "a la carte services", are billed on a case-by-case basis and agreed and paid for to prior to the services being delivered. Payment of these services acts as an agreement between the User and the Company
Payments must be made via the methods specified by the Company.
Changes to Pricing: We reserve the right to change pricing. Customers will receive 30 days' notice before any price adjustment.
Cancellation and Refunds:
Customers may cancel their subscription at any time.
Refunds are not issued for partial months.
4. Intellectual Property
The Service and all content, features, and functionality (including but not limited to software, designs, trademarks, and trade secrets) are owned by Flow Focus or its licensors and are protected by copyright and other intellectual property laws.
Users are granted a limited, non-exclusive, non-transferable license to use the Service as intended.
5. Data Privacy and Security
Data Usage: By using the Service, you consent to the collection, storage, and processing of your data as described in our Privacy Policy.
Customer Data Ownership: Customers retain ownership of any data they input into the Service.
This data can be transferred to another agency at the request of the User, provided the new agency has the ability of receiving the Users data in it's current format.
Security: We implement reasonable security measures to protect Customer data but cannot guarantee absolute security.
6. Service Availability and Support
Service Uptime: We strive to maintain 99.9% uptime but do not guarantee uninterrupted Service.
Scheduled Maintenance: We may perform maintenance during scheduled downtime, with prior notice provided.
Support: Support is available through our support portal, subject to your subscription.
7. Termination
By Customer: Customers may terminate their account by contacting [email protected].
By Company: We reserve the right to suspend or terminate accounts for breach of these Terms or other policies.
Effect of Termination: Upon termination, access to the Service will be revoked, and data may be deleted after 60 days unless required by law.
8. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, Flow Focus, including its controlling partners, parent companies, subsidiaries, affiliates, and any associated legal entities, shall not be liable for any indirect, incidental, special, or consequential damages.
10. Indemnification
You agree to indemnify and hold Flow Focuss harmless from and against any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Service or breach of these Terms.
11. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by the laws of the Province of Ontario and apply to Flow Focus, its controlling partners, parent companies, subsidiaries, affiliates, and any associated legal entities..
Dispute Resolution: Any disputes will be resolved through binding arbitration in Kitchener, Ontario, except where prohibited by law.
12. Modifications to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or within the Service. Continued use of the Service constitutes acceptance of the updated Terms.
13. Miscellaneous
Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between Flow Focus and the Customer.
Severability: If any provision is found to be unenforceable, the remaining provisions remain in effect.
Assignment: You may not assign your rights or obligations under these Terms without prior written consent from Flow Focus.
